The rules of the road.

These Terms of Service govern your use of Linkd (the "Service"), operated by Linkd Inc. ("Linkd", "we", "us"). By creating an account or using the Service, you agree to these terms. If you're signing on behalf of a company, you confirm you have authority to bind it.

1. The service

Linkd provides software and tooling for LinkedIn activation, including connection sync, ICP matching, outreach automation, and team network management, delivered through a web app and Chrome extension. We may add, modify, or remove features over time; we'll give reasonable notice for material changes.

Paid plans are billed monthly or annually in advance via Stripe. Fees are non-refundable except where required by law. You can cancel anytime from your workspace settings; cancellation takes effect at the end of the current billing period.

If we don't receive payment, we may suspend the Service until the balance clears.

5. Term and termination

Either party may terminate at any time. We may suspend or terminate for material breach of these terms (including acceptable-use violations) with reasonable notice. On termination, you lose access; your data is handled per the Privacy Policy.

6. Intellectual property

Your content

You retain ownership of content and data you bring to Linkd. You grant us a limited license to host, process, and display it solely to operate the Service for you.

Our IP

Linkd, the platform, our methodologies, workflows, automations, and templates are and remain ours. Nothing in these terms transfers ownership.

7. Third-party platforms

Linkd operates alongside LinkedIn and other third-party platforms. Platform policies and rate limits change. We follow reasonable best practices, but you accept the risk of policy changes, restrictions, or enforcement actions on accounts you connect.

8. No guarantees

We don't guarantee specific outcomes, meetings, replies, pipeline, revenue. The Service is provided "as is" without warranties of any kind. To the maximum extent permitted by law, we disclaim implied warranties of merchantability, fitness, and non-infringement.

9. Limitation of liability

To the maximum extent permitted by law: our aggregate liability arising out of or related to these terms is capped at the fees you paid us in the 12 months before the claim. We are not liable for indirect, incidental, consequential, or special damages, including lost profits, lost data, or business interruption.

10. Indemnification

You agree to indemnify and hold Linkd harmless from claims arising out of your content, your use of the Service, or your violation of these terms.

11. Confidentiality

Both parties agree to protect non-public information shared in the course of using the Service with the same care as their own confidential information, and at minimum a reasonable standard of care.

12. Independent contractor

Linkd is an independent contractor. Nothing here creates a joint venture, partnership, agency, or employment relationship.

13. Governing law

These terms are governed by the laws of the State of Delaware, without regard to conflict of laws. Disputes go to the state or federal courts located in Delaware, and you consent to that jurisdiction.

14. Changes to terms

We may update these terms. Material changes will be emailed to account admins at least 14 days in advance. Continued use after the effective date means you accept the new terms.
